Ignite Camp Waiver

In consideration of being permitted to participate in the events, programs, activities, camps, or training (the "Activity") hosted by Indy Ignite LLC, an Indiana limited liability company operating at 8701 East 116th St., Suite 270, Fishers, IN 46038 and/or at such other locations as may be appropriate ("Indy Ignite"), and in recognition of Indy Ignite's reliance hereon, I, the individual named below (referred to as "I" or "me"), agree to all the terms and conditions set forth in this instrument (this "Release").

1.                 ACKNOWLEDGMENT. I acknowledge that there is a risk of injury from the Activity I am participating in, including without limitation, personal or psychological injury, pain, paralysis, temporary or permanent disability, death, property damage and/or financial loss. NOTWITHSTANDING THE RISK, I ACKNOWLEDGE THAT I AM KNOWINGLY AND VOLUNTARILY PARTICIPATING IN THE ACTIVITY WITH AN EXPRESS UNDERSTANDING OF THE DANGER INVOLVED AND HEREBY AGREE TO ACCEPT AND ASSUME ANY AND ALL RISKS OF INJURY, DISABILITY, DEATH, AND/OR PROPERTY DAMAGE ARISING FROM MY PARTICIPATION IN THE ACTIVITY, WHETHER CAUSED BY THE ORDINARY NEGLIGENCE OF INDY IGNITE, THE RELEASEES (as defined below) OR OTHERWISE.

2.                   RELEASE. I hereby expressly waive and release any and all claims, now known or hereafter known, against Indy Ignite, and its officers, directors, manager(s), players, volunteers, employees, agents, affiliates, members, contractors, subcontractors, sponsors, suppliers, national organizations or associations, representatives, insurers, successors, and assigns (collectively, "Releasees"), for any liability, expense, loss or damage to person or property, injury, death, or disability suffered from or in connection with my presence or participation in the Activity, due to any cause whatsoever, whether arising out of the ordinary negligence of Indy Ignite or any Releasees or otherwise. I covenant not to sue or make or bring any such claim against Indy Ignite or any other Releasee, and forever release and discharge Indy Ignite and all other Releasees from liability under such claims.

3.                   CERTIFICATION. I certify that I am in proper physical and mental condition to participate in the Activity and I have not been advised by any health professional to not participate in the Activity. By signing this Release, I certify that I do not have any health-related reasons or problems which preclude my participation in the Activity, and if I do, I have disclosed to Indy Ignite all of my underlying medical conditions, if any.

4.                   IMAGE USE CONSENT & RELEASE. I hereby irrevocably permit, authorize, grant, and license Indy Ignite and its affiliates, successors, and assigns, and the employees, officers, managers, members, and agents of each and all of them, the rights to display, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, adapt, create derivative works, exploit, sell, rent, license, otherwise use, and permit others to use, my name, image, likeness, appearance, voice, and all materials created by or on behalf of Indy Ignite that incorporate any of the foregoing ("Materials") in perpetuity throughout the universe in any medium or format whatsoever now existing or hereafter created, including, but not limited to, in and on print publications, video, radio, social media, internet and digital transmissions, and all other mediums and platforms and for any purpose, including but not limited to advertising, public relations, publicity, packaging, and promotion of Indy Ignite and its affiliates and their businesses, products, and services, without further consent from or royalty, payment, or other compensation to me.

Indy Ignite shall be the exclusive owner of all rights, including copyright, in the Materials. I hereby irrevocably transfer, assign, and otherwise convey to Indy Ignite my entire right, title, and interest, if any, in and to the Materials and all copyrights and other intellectual property rights in the Materials arising in any jurisdiction throughout the universe in perpetuity, including all registration, renewal, and reversion rights, and the right to sue to enforce such copyrights against infringers. I acknowledge and agree that I have no right to review or approve Materials before they are used by Indy Ignite, and that Indy Ignite has no liability to me for any editing or alteration of the Materials or for any distortion or other effects resulting from Indy Ignite's editing, alteration, or use of the Materials, or Indy Ignite's presentation of me. Any credit or other acknowledgment of me, if any, shall be determined by Indy Ignite in Indy Ignite's sole discretion. Indy Ignite has no obligation to create or use the Materials or to exercise any rights given by this Release.

5.                   INDEMNIFICATION. I shall defend, indemnify, and hold harmless Indy Ignite and all other Releasees against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorney fees, fees, the costs of enforcing any right to indemnification under this Release, and the cost of pursuing any insurance providers, incurred by Indy Ignite or any other Releasees, related to my participation in the Activity, whether or not such claims are arising from the negligence of the Releasees or otherwise, to the fullest extent permitted by law.

6.                   CONSENT TO MEDICAL TREATMENT. I hereby consent to receive medical treatment deemed necessary if I am injured or require medical attention during my participation in the Activity. I understand and agree that I am solely responsible for all costs related to such medical treatment and any related medical transportation and/or evacuation. I hereby release, forever discharge, and hold harmless Indy Ignite from any claim based on such treatment or other medical services.

7.                   MISCELLANEOUS. This Release constitutes the sole and entire agreement of Indy Ignite and me with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this Release is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Release or invalidate or render unenforceable such term or provision in any other jurisdiction. This Release is binding on and shall inure to the benefit of Indy Ignite and me and our respective heirs, successors, and assigns. All matters arising out of or relating to this Release shall be governed by and construed in accordance with the internal laws of the State of Indiana without giving effect to any choice or conflict of law provision or rule (whether of the State of Indiana or any other jurisdiction). Any claim or cause of action arising under this Release may be brought only in the federal and state courts located in Hamilton County, Indiana and I hereby consent to the exclusive jurisdiction of such courts.

BY SIGNING, I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THIS RELEASE AND THAT I AM VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE INDY IGNITE.
